Gli azionisti voteranno in merito alla 136a Assemblea generale annuale il 20 maggio presso la Volkshaus di Basilea. Se la clausola verr\u00e0 accettata, la soglia per un'offerta obbligatoria passer\u00e0 da 33,5 % a 49 %.<\/p>\n<p>Ai sensi della legge svizzera sulle acquisizioni (art. 135 della legge finanziaria), un azionista di maggioranza \u00e8 obbligato a presentare un'offerta pubblica di acquisto a tutti gli altri azionisti non appena supera il 33,5 % dei diritti di voto. L'opting up sposta questa soglia verso l'alto. Nella relazione annuale del 2025, Warteck Invest ha dichiarato espressamente che non esisteva n\u00e9 un opting-out n\u00e9 un opting-up e che la soglia prevista dalla legge era invariata.<\/p>\n<h3>Flessibilit\u00e0 per gli aumenti di capitale come giustificazione<\/h3>\n<p>Warteck Invest giustifica la mossa nell'invito all'assemblea dei soci affermando che sono necessari investimenti maggiori di quelli che il Gruppo pu\u00f2 gestire da solo. L'attuale obbligo di fare un'offerta di 33,5 % limita la flessibilit\u00e0 nella raccolta di capitale. Il Consiglio di amministrazione cita espressamente lo scenario di un'emissione di diritti: il suo successo potrebbe essere garantito da un azionista importante che si impegni ad acquistare le azioni per le quali non sono stati esercitati i diritti di sottoscrizione. Con l'adesione, l'azionista non correrebbe il rischio di far scattare un'offerta obbligatoria. Nel complesso, la capacit\u00e0 della societ\u00e0 di raccogliere capitale proprio verrebbe rafforzata, il che potrebbe portare a una maggiore liquidit\u00e0 dell'azione.<\/p>\n<p>Allo stesso tempo, l'invito all'assemblea generale menziona anche il rovescio della medaglia: gli azionisti rimanenti non beneficerebbero pi\u00f9 di un'offerta obbligatoria se la soglia di 33,5-% viene superata. Inoltre, un azionista di maggioranza che rimanga al di sotto di 49 % potrebbe vendere la propria partecipazione a un acquirente terzo, realizzando cos\u00ec un premio di controllo che verrebbe negato agli azionisti di minoranza. Il Consiglio di amministrazione riconosce che, sebbene l'opting-up rappresenti una \u00abvia di mezzo equilibrata\u00bb rispetto a un opting-out completo, esso limita comunque gli interessi della minoranza.<\/p>\n<h3>Il maggiore azionista beneficia direttamente<\/h3>\n<p>Il principale azionista di Warteck Invest \u00e8 la famiglia Dr. Christoph M. M\u00fcller di K\u00fcssnacht am Rigi (SZ), che al 31 dicembre 2025 deteneva circa 32,3 % delle azioni - appena al di sotto della precedente soglia di offerta obbligatoria. Un'opzione di aumento a 49 % ne beneficerebbe direttamente. Altri azionisti significativi sono MV Immoxtra Schweiz Fonds con 5,0 % e UBS Fund Management (Switzerland) AG con 3,1 %. La famiglia M\u00fcller \u00e8 esclusa dal voto decisivo. Solo i restanti azionisti - la \u00abmaggioranza della minoranza\u00bb - decidono sull'introduzione della clausola.<\/p>\n<p>Il termine ultimo per l'iscrizione nel registro delle azioni \u00e8 il 12 maggio.
