Inoltre, i nuovi fondi saranno utilizzati per nuovi progetti immobiliari nell'ambito del Green Finance Framework di SPS. Secondo quanto riferito, l'obbligazione scambiabile non \u00e8 classificata come green bond.<\/div>\n<div><\/div>\n<h3>Ricavo di 275 milioni di franchi svizzeri<\/h3>\n<div>L'emissione di un prestito convertibile a ELM B.V., una societ\u00e0 finanziaria detenuta da una fondazione - un cosiddetto veicolo di repackaging - con sede nei Paesi Bassi, ha fornito a Swiss Prime Site AG nuovi fondi per un totale di circa 275 milioni di franchi svizzeri. Il veicolo di repackaging \u00e8 stato scelto per evitare la doppia imposizione fiscale per gli investitori stranieri e per potersi rivolgere a un pubblico pi\u00f9 ampio all'estero, secondo SPS. Il prestito convertibile non subordinato e non garantito ha una durata fino al 2030 ed \u00e8 convertibile in azioni nominative di SPS di nuova emissione o gi\u00e0 esistenti, ma pu\u00f2 anche essere regolato in contanti o in una combinazione di entrambi, a discrezione di SPS.<\/div>\n<div>ELM ha a sua volta emesso un'obbligazione scambiabile a 7 anni, garantita dal prestito convertibile. Secondo quanto riferito, l'obbligazione scambiabile \u00e8 stata collocata con successo presso investitori in Svizzera e all'estero. Swiss Prime Site ha annunciato che il prezzo di entrambi i prestiti convertibili \u00e8 stato fissato nell'ambito di un processo di bookbuilding accelerato. A causa dell'ampia domanda da parte degli investitori, anche stranieri, l'emissione \u00e8 stata aumentata dai 250 milioni di franchi inizialmente previsti a 275 milioni di franchi. L'emissione \u00e8 stata sottoscritta pi\u00f9 volte.<\/div>\n<div><\/div>\n<h3>Tasso di interesse di 1,625%<\/h3>\n<div>Secondo quanto riferito, i prestiti convertibili avranno un interesse fisso dell'1,625% annuo, pagabile annualmente in via posticipata. Il prezzo di riferimento, che corrisponde al prezzo medio ponderato per il volume delle azioni sul SIX Swiss Exchange tra l'inizio e il prezzo dell'offerta il 23 maggio 2023, \u00e8 di 77,42 franchi svizzeri. Il prezzo di conversione iniziale \u00e8 di 85,16 franchi svizzeri, che corrisponde a un premio del 10% rispetto al prezzo di riferimento.<\/div>\n<div><\/div>\n<div>Con l'emissione del prestito convertibile, la societ\u00e0 immobiliare vede confermata la sua scelta di un \"profilo di finanziamento diversificato e conservativo\", che comprende una variet\u00e0 di strumenti di finanziamento sul mercato dei capitali.
