La capacit\u00e9 d'endettement restante d'environ 40 millions de francs est pr\u00e9vue pour diff\u00e9rents projets immobiliers existants et \"ne permet pas la flexibilit\u00e9 n\u00e9cessaire \u00e0 une croissance suppl\u00e9mentaire\", explique-t-on chez Warteck Invest.<\/p>\n<p>Le conseil d'administration propose donc d'augmenter le capital-actions de la soci\u00e9t\u00e9, actuellement de 1,485 million de francs, jusqu'\u00e0 1,98 million de francs par l'\u00e9mission d'un maximum de 49.500 actions nominatives \u00e0 lib\u00e9rer enti\u00e8rement, d'une valeur nominale de 10 francs chacune. Les actionnaires se verront attribuer un droit de souscription pour chaque action nominative d\u00e9tenue. L'exercice de trois droits de souscription donne \u00e0 leur d\u00e9tenteur le droit de souscrire une nouvelle action nominative contre paiement du prix de souscription.<\/p>\n<p>Les modalit\u00e9s pr\u00e9cises de l'offre de souscription aux actionnaires existants devraient \u00eatre annonc\u00e9es \u00e0 l'occasion de l'assembl\u00e9e g\u00e9n\u00e9rale extraordinaire du 22 octobre 2015. La Banque Vontobel AG a \u00e9t\u00e9 mandat\u00e9e en tant que seule banque chef de file pour la pr\u00e9paration et l'ex\u00e9cution de la transaction envisag\u00e9e.
