Les actionnaires se prononceront \u00e0 ce sujet lors de la 136e assembl\u00e9e g\u00e9n\u00e9rale ordinaire qui se tiendra le 20 mai au Volkshaus de B\u00e2le. Si la clause est accept\u00e9e, le seuil pour une offre obligatoire se d\u00e9place de 33,5 % \u00e0 49 %.<\/p>\n<p>Selon le droit suisse des OPA (FinfraG art. 135), un gros actionnaire est tenu de pr\u00e9senter une offre publique d'achat \u00e0 tous les autres actionnaires d\u00e8s qu'il d\u00e9passe 33,5 % des droits de vote. Un opting-up d\u00e9place ce seuil vers le haut. Dans le rapport annuel 2025, Warteck Invest avait encore express\u00e9ment indiqu\u00e9 qu'il n'existait ni opting-out ni opting-up et que le seuil l\u00e9gal s'appliquait sans changement.<\/p>\n<h3>La flexibilit\u00e9 des augmentations de capital comme justification<\/h3>\n<p>Dans l'invitation \u00e0 l'AG, Warteck Invest justifie cette mesure par le fait que des investissements plus importants que ceux que le groupe peut assumer par ses propres moyens sont n\u00e9cessaires. L'obligation de pr\u00e9senter une offre \u00e0 33,5 % limite la flexibilit\u00e9 de la lev\u00e9e de capitaux. Le conseil d'administration cite concr\u00e8tement le sc\u00e9nario d'une \u00e9mission de droits de souscription : le succ\u00e8s de celle-ci pourrait finalement \u00eatre assur\u00e9 par le fait qu'un gros actionnaire s'engage \u00e0 reprendre des actions pour lesquelles les droits de souscription n'ont pas \u00e9t\u00e9 exerc\u00e9s. Gr\u00e2ce \u00e0 l'opting-up, celui-ci ne risquerait pas de d\u00e9clencher une offre obligatoire. Dans l'ensemble, la capacit\u00e9 de la soci\u00e9t\u00e9 \u00e0 se procurer des fonds propres serait renforc\u00e9e, ce qui pourrait conduire \u00e0 une liquidit\u00e9 accrue de l'action.<\/p>\n<p>En m\u00eame temps, l'invitation \u00e0 l'AG mentionne le revers de la m\u00e9daille : les autres actionnaires ne b\u00e9n\u00e9ficieraient plus d'une offre obligatoire en cas de d\u00e9passement du seuil de 33,5-%. De plus, un gros actionnaire qui resterait en dessous de 49 % pourrait vendre sa participation \u00e0 un tiers acqu\u00e9reur et obtenir ainsi une prime de contr\u00f4le dont les actionnaires minoritaires ne pourraient pas b\u00e9n\u00e9ficier. Le conseil d'administration admet que l'opting-up repr\u00e9sente certes un \u00abjuste milieu\u00bb par rapport \u00e0 un opting-out complet, mais qu'il limite n\u00e9anmoins les int\u00e9r\u00eats de la minorit\u00e9.<\/p>\n<h3>Le plus gros actionnaire en profite directement<\/h3>\n<p>Le plus gros actionnaire de Warteck Invest est la famille Dr. Christoph M. M\u00fcller de K\u00fcssnacht am Rigi (SZ), qui d\u00e9tient au 31 d\u00e9cembre 2025 environ 32,3 % des actions - juste en dessous du seuil d'obligation de l'offre actuelle. Un opting-up \u00e0 49 % lui profiterait directement. Les autres actionnaires importants sont le fonds MV Immoxtra Schweiz avec 5,0 % et UBS Fund Management (Switzerland) AG avec 3,1 %. La famille M\u00fcller est exclue de la concertation d\u00e9terminante. Seuls les autres actionnaires - la \u00abmajorit\u00e9 de la minorit\u00e9\u00bb - d\u00e9cident de l'introduction de la clause.<\/p>\n<p>Le jour de r\u00e9f\u00e9rence pour l'inscription au registre des actions est le 12 mai.
