La voie du Repackaging Vehicle a \u00e9t\u00e9 choisie afin d'\u00e9viter une double imposition aupr\u00e8s des investisseurs \u00e9trangers et de pouvoir s'adresser \u00e0 un public plus large \u00e0 l'\u00e9tranger, explique-t-on chez SPS. L'emprunt convertible non subordonn\u00e9 et non garanti a une dur\u00e9e allant jusqu'en 2030. L'emprunt est convertible en actions nominatives nouvellement \u00e9mises ou existantes de SPS, mais peut \u00e9galement \u00eatre r\u00e9gl\u00e9 en esp\u00e8ces ou sous forme d'une combinaison des deux, ce qui est laiss\u00e9 au choix de SPS.<\/div>\n<div>De son c\u00f4t\u00e9, ELM a \u00e9mis un emprunt \u00e9changeable de sept ans, garanti par le pr\u00eat convertible. Selon les informations fournies, l'obligation \u00e9changeable a pu \u00eatre plac\u00e9e avec succ\u00e8s aupr\u00e8s d'investisseurs en Suisse et \u00e0 l'\u00e9tranger. L'\u00e9mission a \u00e9t\u00e9 sursouscrite \u00e0 plusieurs reprises.<\/div>\n<div><\/div>\n<h3>Taux d'int\u00e9r\u00eat de 1,625%<\/h3>\n<div>Selon les indications, les pr\u00eats convertibles sont r\u00e9mun\u00e9r\u00e9s \u00e0 un taux d'int\u00e9r\u00eat fixe de 1,625 pour cent par an, payable annuellement \u00e0 terme \u00e9chu. Le cours de r\u00e9f\u00e9rence, qui correspond au prix moyen pond\u00e9r\u00e9 en fonction du volume des actions \u00e0 la SIX Swiss Exchange entre le d\u00e9but et la fixation du prix de l'offre le 23 mai 2023, est de 77,42 CHF. Le prix de conversion initial est de 85,16 CHF, ce qui correspond \u00e0 une prime de dix pour cent par rapport au cours de r\u00e9f\u00e9rence.<\/div>\n<div><\/div>\n<div>Avec l'\u00e9mission du pr\u00eat convertible, la soci\u00e9t\u00e9 immobili\u00e8re se voit confort\u00e9e dans le choix de son \"profil de financement diversifi\u00e9 et conservateur\", qui comprend une multitude d'instruments de financement sur le march\u00e9 des capitaux.
