Conform\u00e9ment \u00e0 la strat\u00e9gie d'entreprise r\u00e9cemment pr\u00e9sent\u00e9e, l'ensemble du portefeuille d'Ina Invest doit \u00eatre d\u00e9velopp\u00e9 et r\u00e9alis\u00e9 selon les crit\u00e8res de durabilit\u00e9 les plus \u00e9lev\u00e9s. Tous les projets doivent \u00eatre certifi\u00e9s par des labels nationaux ou internationaux ; Ina Invest vise \u00e9galement des certifications de Sustainalytics et GRESB. Les deux entreprises esp\u00e8rent que le transfert d'une partie du portefeuille de d\u00e9veloppement d'Implenia \u00e0 Ina Invest, dans lequel il s'agit d'\"immeubles de premier ordre\" selon l'\u00e9valuation de W\u00fcest Partner pour 95%, leur offrira des \"opportunit\u00e9s de croissance importantes\". Selon elles, cela permettra \u00e0 Ina Invest de d\u00e9velopper plus rapidement le portefeuille transf\u00e9r\u00e9 gr\u00e2ce \u00e0 de nouvelles capacit\u00e9s de financement.<\/p>\n<p>La strat\u00e9gie de croissance et le mod\u00e8le commercial d'Ina Invest couvrent l'ensemble de la cha\u00eene de cr\u00e9ation de valeur, de l'acquisition \u00e0 la r\u00e9alisation et \u00e0 l'exploitation, en passant par les \u00e9tudes de projet, la r\u00e9alisation, le marketing et la vente. Une \u00e9troite collaboration avec Implenia est pr\u00e9vue \u00e0 toutes les \u00e9tapes. Sur la base des estimations et des perspectives de march\u00e9 actuelles, Ina Invest se fixe pour objectif de d\u00e9tenir un portefeuille immobilier de plus de 0,6 milliard de CHF dans la phase de d\u00e9veloppement jusqu'\u00e0 fin 2022. Dans la phase de d\u00e9veloppement, de 2023 \u00e0 2027, le portefeuille devrait atteindre une valeur d'environ 2 milliards. Dans la premi\u00e8re phase, jusqu'en 2022, il est pr\u00e9vu d'achever chaque ann\u00e9e des projets d'une surface d'environ 18 000 m\u00b2 ; par la suite, cette surface devrait augmenter pour atteindre environ 45 000 m\u00b2 par an. \u00c0 la fin de la premi\u00e8re phase de croissance, Ina Invest vise un rendement des capitaux propres de 6% \u00e0 8%. Le budget d'acquisition annuel devrait s'\u00e9lever en moyenne \u00e0 environ 50 millions, les acquisitions devant se faire de plus en plus dans le secteur r\u00e9sidentiel avec des appartements en location et en propri\u00e9t\u00e9. Ina Invest AG entend financer sa croissance par des cr\u00e9dits hypoth\u00e9caires, la vente d'appartements en copropri\u00e9t\u00e9 et le march\u00e9 des capitaux.<\/p>\n<p>Apr\u00e8s le spin-off d'Ina Invest Holding AG et les augmentations de capital pr\u00e9vues d'Ina Invest Holding AG et d'Ina Invest AG, Implenia conservera une participation d'au moins 40% dans Ina Invest AG en tant qu'actionnaire minoritaire. Les autres actions d'Ina Invest AG sont d\u00e9tenues par Ina Invest Holding AG, une soci\u00e9t\u00e9 \u00e9galement nouvellement cr\u00e9\u00e9e, dont les actions seront probablement cot\u00e9es \u00e0 la SIX Swiss Exchange le ou autour du 12 juin 2020 et distribu\u00e9es aux actionnaires d'Implenia AG par le biais d'un dividende en nature. Les actionnaires d'Implenia recevront une action Ina Invest Holding AG pour cinq actions Implenia. La NAV par action Ina Invest Holding AG s'\u00e9l\u00e8ve \u00e0 environ 22,50 CHF (respectivement environ 4,50 CHF\/action Implenia), sur la base d'une \u00e9valuation r\u00e9alis\u00e9e par W\u00fcest Partner au 31 mars 2020.<\/p>\n<p>Le spin-off et les augmentations de capital se d\u00e9rouleront en plusieurs \u00e9tapes. Apr\u00e8s le transfert du portefeuille immobilier s\u00e9lectionn\u00e9 d'Implenia \u00e0 Ina Invest AG, les actions d'Ina Invest Holding AG seront distribu\u00e9es aux actionnaires d'Implenia sous la forme d'un dividende en nature. Ensuite, Ina Invest Holding AG devrait augmenter son capital-actions d'environ 100 millions. Dans le cadre de cette augmentation de capital pr\u00e9vue, les actionnaires d'Implenia recevront des droits de souscription non n\u00e9gociables - le Conseil d'administration pourra attribuer les droits de souscription non exerc\u00e9s \u00e0 de nouveaux investisseurs.
