Swiss Estates: Kolumbus Group Announces Purchase Offer

The decision to delist the company, which is listed on the BX Swiss exchange, has already been made; the Kolumbus Group already controls the majority of its shares.

The offering prospectus for the Kolumbus Group’s public tender offer to acquire Swiss Estates AG has been published. The Kolumbus Group is offering 3.00 CHF net in cash for registered shares, common shares, and participation certificates, each with a par value of 5.00 CHF. For unlisted registered shares with a par value of CHF 0.50, the offer is CHF 0.30. The offer is scheduled to remain open from August 6 through September 2.

Swiss Estates AG’s securities are listed on the BX Swiss. Its participation certificates are also traded on the Düsseldorf Stock Exchange. As of the end of 2025, the company had 16 properties with a market value of just over CHF 150 million in its portfolio.

At the company's annual general meeting in June, a resolution was passed to delist the company. Even at that time, the Kolumbus Group had already accumulated nearly 98 % of the voting shares. (IB reported). (aw)
