Procimmo Group: Vaudoise becomes majority shareholder
The Vaudoise Group will increase its real estate assets under management to CHF 9 billion as a result of the takeover. Procimmo is to be retained in its current form.

The majority shareholders of the Procimmo Group have concluded an agreement on the sale of their shares to the Vaudoise Insurance Group. Procimmo will continue to operate as an external real estate asset management platform under the current management. According to the announcement, Procimmo's operating units and all jobs will be retained. With the takeover, Vaudoise, which had already acquired Berninvest in 2017, will become one of the major players in the Swiss real estate market. Including Procimmo, assets under management total over CHF 9 billion. Through its subsidiary Vaudoise Asset Management Ltd, the Vaudoise Group had already owned 20% of Procimmo's share capital since 2021.
«After almost five years of partnership, we are convinced that Vaudoise is the best long-term owner,» says Procimmo CEO Arno Kneubühler. «Its cooperative model and values guarantee stability and a sustainable vision, while giving us the freedom to further develop Procimmo as an external platform with its own philosophy and management.»
For Vaudoise, the acquisition is a step towards the further expansion of real estate asset management for third parties. «With Procimmo and Berninvest, we want to become one of the leaders for real estate investment solutions in Switzerland,» says Jean-Daniel Laffely, CEO of the Vaudoise Group.
The sale is expected to be completed at the beginning of July, subject to the approval of the relevant authorities. Vaudoise's stake will then amount to 92.27% of the voting rights. The sale price has been set at CHF 9.50 per share after payment of the 2025 ordinary dividend. Vaudoise intends to acquire the entire share capital of the Procimmo Group in the long term and is planning a squeeze-out once the sale has been completed.
